Board of directors.

Our board of directors currently consists of nine members. Dave Duffield is our chairman of the board, George Still is vice chairman of the board and lead independent director, and Mike Stankey is vice chairman of the board. Our other directors are Aneel Bhusri (who is also our chief executive officer), A. George (“Skip”) Battle, Christa Davies, Mike McNamara, Lee J. Styslinger III and Jerry Yang. Each of our non-employee directors is “independent” as defined by the rules of the New York Stock Exchange. We have a classified board of directors, with each class serving staggered three-year terms. In addition, we have established an Audit Committee, a Compensation Committee and Nominating and Governance Committee, and an Investment Committee. Our board and committee structure, as well as biographies for each of our directors, are set forth below.

Dave Duffield Co-Founder and Chairman

Dave Duffield is Workday's co-founder and chairman of the board. Dave drives the company's strong commitment to its core values, which include employees, customer service, innovation, integrity, and fun.

Aneel Bhusri Director and Chief Executive Officer

Aneel Bhusri is co-founder and chief executive officer at Workday. He is also a member of the company's board of directors, and served as chairman of the board from 2012 until May 2014. Aneel has been a leader, product visionary, and innovator in the enterprise software industry for more than 20 years.

George Still Jr. Vice Chairman and Lead Independent Director

George Still Jr. has served on the board of directors at Workday since 2009. George brings to the board financial and investing acumen gained through his many years as a managing partner at Norwest Venture Partners (NVP), a global venture capital firm. George's experience as an advisor to a number of technology companies is also a valuable resource on the Workday board.

Mike Stankey Vice Chairman

Mike Stankey is vice chairman at Workday and focuses on the company’s market expansion, key customer relationships, external communications, and leadership development. He is also a member of the company’s board of directors. Previously, from 2009 to 2015, Mike served as president and chief operating officer.

A. George "Skip" Battle Independent Director

A. George "Skip" Battle has served on Workday's board of directors since 2007. Skip brings to the board a diversity of distinguished experiences and seasoned business acumen. His service as a director at a number of public and private organizations provides Workday with an important perspective on corporate governance matters, including company best practices.

Christa Davies Independent Director

Christa Davies joined Workday's board of directors in August 2012. Christa brings to the board financial expertise and extensive experience in the software and technology industries.

Mike McNamara Independent Director

Mike McNamara has served on Workday's board of directors since 2011. Mike brings to the board extensive leadership and experience managing international operations. As the CEO of a large global company, Mike provides Workday with a management perspective on business and strategic decisions.

Lee J. Styslinger III Independent Director

Lee J. Styslinger III joined Workday’s board of directors in September 2016. Lee brings to the board deep expertise as chairman and CEO of a global company as well as diverse leadership experience serving across multiple corporate, governmental, and education-related boards and councils.

Jerry Yang Independent Director

Jerry Yang joined Workday’s board of directors in November 2013. Jerry brings to the board deep experience building technology products used by millions of people around the world as well as leadership experience with global organizations, particularly in markets throughout Asia.
